Techy Witch LLC Terms and Conditions

1. Acceptance of Terms
By purchasing and/or using the 5-hour Service & Implementation Package provided by Techy Witch LLC (“Company”), you agree to be bound by these Terms and Conditions. If you do not agree to these Terms, please do not purchase or use our services.

2. Service Package Overview

Package Details: The Service Package includes five (5) hours of comprehensive technical consulting, support, and implementation.
Scope of Services: The hours may be applied toward:
Email correspondence and responses,
Phone calls and virtual meetings,
Hands-on implementation of technical solutions,
Any other agreed-upon consulting or implementation tasks as specified in the project scope.
Price: The cost of the Service Package is $750 USD.

3. Service Hours and Usage

Validity Period: The five (5) hours must be used within thirty (30) days from the date of purchase. Any unused hours will expire after this period and will not be refunded or carried over.

Scheduling: Service hours will be scheduled by mutual agreement. The Client is encouraged to schedule sessions in advance to ensure availability.

Time Tracking: The Company will track the usage of hours. An itemized record of services rendered will be provided upon request.

4. Payment Terms

Payment Method: Payment is due in full at the time of purchase via the payment methods accepted by Techy Witch LLC.

Refunds: Due to the nature of the consulting and implementation services, all payments are non-refundable once the Service Package is purchased, except as otherwise provided by applicable law.

Late Payments: In the event of a billing dispute, the Client must notify the Company within seven (7) days of the purchase. Failure to do so may be considered acceptance of the charge.

5. Cancellation and Rescheduling Policy

Cancellation by Client: The Client may request to cancel a scheduled session with at least 24 hours’ notice. Failure to provide such notice may result in the forfeiture of the corresponding portion of the Service Package hours.

Rescheduling: The Client may reschedule sessions within the 30-day period. The Company will make reasonable efforts to accommodate rescheduling requests.

Cancellation by Company: Techy Witch LLC reserves the right to cancel or reschedule sessions due to unforeseen circumstances. In such cases, a mutually agreeable alternative session time will be offered.

6. Client Responsibilities

The Client agrees to provide necessary information, access, and cooperation to allow the Company to deliver the services effectively.

The Client is responsible for ensuring that any software, hardware, or other requirements for the services are in place and functioning properly.

7. Confidentiality and Data Protection

Confidential Information: Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of service.

Data Security: Techy Witch LLC will implement reasonable measures to protect the Client’s data; however, the Company is not liable for any data breaches or losses beyond its control.

8. Intellectual Property

Any materials provided by Techy Witch LLC during the course of the services, including documentation, guides, or other intellectual property, remain the exclusive property of Techy Witch LLC unless otherwise agreed in writing.
The Client is granted a limited, non-transferable license to use such materials for their intended purpose.

9. Limitation of Liability and Disclaimers

No Warranty: Services are provided “as is” without any warranties, express or implied. The Company does not guarantee that the services will meet the Client’s specific requirements or that they will be uninterrupted or error-free.

Limitation of Liability: In no event shall Techy Witch LLC be liable for any indirect, incidental, consequential, or punitive damages arising out of or in connection with the use of the Service Package.

Force Majeure: The Company shall not be held liable for any delays or failures in performance resulting from causes beyond its reasonable control.
10. Modifications and Termination

Modifications: Techy Witch LLC reserves the right to modify these Terms and Conditions at any time. Clients will be notified of significant changes, and continued use of the services constitutes acceptance of any modified terms.

Termination: Either party may terminate a scheduled session with proper notice. In the event of termination by the Company for breach of these Terms by the Client, any unused hours will be forfeited without refund.

11. Governing Law and Dispute Resolution

Governing Law: These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of New York.

Dispute Resolution: Any disputes arising under or in connection with these Terms shall be resolved first through good-faith negotiation. If resolution cannot be reached, the dispute will be submitted to binding arbitration in accordance with the rules of New York State, with the venue located in New York, unless the parties mutually agree otherwise.

12. Entire Agreement
These Terms and Conditions constitute the entire agreement between the Client and Techy Witch LLC regarding the Service Package and supersede all prior agreements, understandings, or representations, whether oral or written.
